API Access Agreement

This API Access Agreement ("Agreement") is between Redpine Technology AB, reg. no. 559499-8824, Sweden ("Redpine", "we", "us") and the individual or organisation accessing the Redpine API, MCP connections, or CLI tools ("you", "Customer").
By generating an API key, connecting via MCP, or using the CLI, you accept this Agreement in full. If you do not agree, do not use these features.
1. Nature of Access
1.1 Licensed Access
Redpine grants you a limited, non-exclusive, non-transferable, revocable licence to access the Redpine API solely for the purposes set out in this Agreement and subject to its terms.
1.2 Content Licensing
Content returned through the API is sourced from third-party publishers and is licensed to Redpine for specific permitted uses. Your access to that content is governed by those upstream licences in addition to this Agreement.
1.3 Credit-Based Usage
API usage is metered by credits. Each API request, MCP tool call, or CLI query consumes credits according to current pricing published on the platform. Credits are consumed at the time of the request regardless of whether the response is used.
1.4 No Resale
You may not resell, sublicence, or otherwise provide API access to third parties without a separate written agreement with Redpine.
2. Permitted Use
2.1 Authorised Uses
You may use the API to:
- 2.1.1 Retrieve and display content for internal research, analysis, and business intelligence within your organisation.
- 2.1.2 Integrate content retrieval into AI workflows, including LLM context augmentation, RAG pipelines, and AI agent tools.
- 2.1.3 Build internal tooling and applications for use by members of your organisation.
- 2.1.4 Automate research tasks as part of your organisation's products, provided the end product does not primarily serve as a content redistribution vehicle.
2.2 Fair Use
You agree to use the API in a manner consistent with the volume and patterns expected for your use case. Automated bulk downloads, systematic content harvesting, or usage patterns designed to circumvent per-request credit consumption are prohibited.
3. What You Cannot Do
3.1 Prohibited Uses
You must not:
- 3.1.1 Redistribute content — Republish, resell, sublicence, or otherwise distribute API content to third parties in a manner that reproduces or substitutes the original source.
- 3.1.2 Train AI models — Use content returned by the API to train, fine-tune, or evaluate machine learning models without a separate written data licence from Redpine.
- 3.1.3 Circumvent access controls — Attempt to bypass rate limits, authentication, credit requirements, or any other access controls.
- 3.1.4 Reverse engineer — Reverse engineer, decompile, or attempt to extract the underlying data structures, ranking algorithms, or indexing methods of the platform.
- 3.1.5 Misrepresent attribution — Present content retrieved from the API as your own original work or remove, alter, or obscure attribution metadata.
- 3.1.6 Violate publisher terms — Use the content in any manner that would violate the terms under which the content was licensed to Redpine by its publishers.
- 3.1.7 Harmful use — Use the API for any purpose that is unlawful, harmful, harassing, defamatory, or otherwise objectionable.
- 3.1.8 Share credentials — Share your API keys or MCP credentials with any person or system outside your organisation. You are responsible for all usage under your credentials.
3.2 No High-Risk Use
The API is not designed or certified for use in high-risk applications including safety-critical systems, medical diagnosis, financial advice to consumers, or any other context where errors could cause significant harm. You must not use the API in such contexts without appropriate safeguards and independent verification.
4. Your Obligations
4.1 Security
You are responsible for securing your API keys, MCP tokens, and any access credentials. You must rotate credentials immediately if you suspect they have been compromised and notify us at [email protected].
4.2 Compliance
You must comply with all applicable laws and regulations in your use of the API, including data protection laws, intellectual property laws, and any sector-specific regulations applicable to your use case.
4.3 Monitoring
You must monitor your API usage for anomalies and take prompt action if you detect unauthorised use of your credentials.
4.4 Audit
Redpine reserves the right to audit your use of the API on reasonable notice to verify compliance with this Agreement. You agree to cooperate with any such audit and provide reasonable access to relevant records.
5. What Redpine Can Do
5.1 Suspension
Redpine may suspend your API access immediately and without notice if we reasonably believe you are in breach of this Agreement, if your usage poses a risk to the platform or other customers, or if required to do so by a publisher or applicable law.
5.2 Rate Limiting and Throttling
Redpine may apply rate limits, throttling, or other technical controls at any time to protect the stability and availability of the platform. We will endeavour to publish applicable limits, but reserve the right to impose emergency limits without notice.
5.3 Changes to the API
Redpine may modify, deprecate, or discontinue API endpoints, parameters, or features. We will provide reasonable advance notice of breaking changes where practicable. Redpine is not liable for any impact on your systems arising from API changes.
6. Intellectual Property
6.1 Redpine IP
The API, platform, retrieval infrastructure, indexing technology, and all associated documentation are the intellectual property of Redpine. This Agreement does not grant you any ownership rights in Redpine's technology.
6.2 Content IP
Content returned through the API remains the intellectual property of the respective publishers and content owners. Your use of that content is limited to the permitted uses in section 2 of this Agreement.
6.3 Your IP
You retain ownership of any queries, prompts, or other inputs you submit to the API. You grant Redpine a limited licence to process those inputs solely for the purpose of fulfilling your API requests and improving service quality in an aggregated, anonymised manner.
7. Disclaimers and Liability
7.1 No Warranty
The API is provided "as is". Redpine makes no warranty that the API will be uninterrupted, error-free, or that content will be accurate, complete, or fit for any particular purpose.
7.2 Content Accuracy
Content retrieved through the API is sourced from third parties. Redpine does not verify the accuracy, completeness, or currency of that content and is not liable for any reliance placed on it.
7.3 Limitation of Liability
To the maximum extent permitted by law, Redpine's total liability to you under or in connection with this Agreement shall not exceed the amount you paid for API access in the three months preceding the claim. Redpine is not liable for indirect, incidental, consequential, or punitive damages of any kind.
7.4 Indemnity
You agree to indemnify and hold harmless Redpine and its officers, employees, and contractors from any claims, damages, or costs (including legal fees) arising from your breach of this Agreement or your misuse of the API.
7.5 Exceptions
Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.
8. Content Provider Rights
8.1 Third-Party Beneficiaries
Publishers and content providers whose content is accessible through the API are third-party beneficiaries of the restrictions in sections 3.1.1 (redistribution), 3.1.2 (AI training), and 3.1.5 (attribution) of this Agreement.
8.2 Publisher Instructions
Redpine may pass through usage restrictions or instructions from publishers as conditions of access to specific collections. Where such restrictions apply, they will be documented in the API response or collection metadata.
8.3 Attribution Requirements
Where content metadata includes attribution information (source name, publication, author), you must preserve and display that attribution in any downstream use of the content that is visible to end users.
8.4 Takedown Compliance
If a publisher requests removal of specific content from the platform, Redpine may remove it from the API with immediate effect. You must cease use of any content you have cached or stored if notified by Redpine that the content has been subject to a takedown.
8.5 No Direct Publisher Relationship
This Agreement governs your relationship with Redpine only. You do not acquire any direct licence from publishers by virtue of using the API, except as expressly stated in collection-specific terms.
9. Confidentiality
9.1 Confidential Information
Each party may receive confidential information from the other. You agree to keep confidential any non-public technical documentation, pricing structures, or information about the platform's architecture that Redpine designates as confidential.
9.2 Exceptions
Confidentiality obligations do not apply to information that is or becomes publicly available without breach of this Agreement, that you independently developed, or that you are required to disclose by law.
10. Term and Termination
10.1 Term
This Agreement commences when you first accept it and continues until terminated by either party.
10.2 Termination by You
You may terminate this Agreement at any time by revoking all API keys, ceasing all API access, and notifying us at [email protected]. Unused credits are non-refundable upon voluntary termination.
10.3 Termination by Redpine
Redpine may terminate this Agreement immediately for breach, or on 30 days' notice for any other reason.
10.4 Effect of Termination
On termination, your API access is revoked immediately. Sections 3 (prohibitions), 6 (IP), 7 (liability), 8 (content provider rights), and 9 (confidentiality) survive termination.
11. General
11.1 Entire Agreement
This Agreement, together with the Terms of Service, constitutes the entire agreement between you and Redpine regarding API access and supersedes all prior discussions and agreements on that subject.
11.2 Order of Precedence
In case of conflict between this Agreement and the Terms of Service with respect to API access, this Agreement prevails.
11.3 Amendments
Redpine may amend this Agreement by posting an updated version to the platform and notifying you by email. Your continued use of the API after the effective date of the amendment constitutes acceptance.
11.4 Assignment
You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. Redpine may assign this Agreement in connection with a merger, acquisition, or sale of assets.
11.5 Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions continue in full force and effect. This Agreement supplements and is to be read together with the Terms of Service.
11.6 Governing Law
This Agreement is governed by the laws of Sweden. Disputes shall be resolved in the competent courts of Sweden, subject to any mandatory consumer protection rights that may apply in your jurisdiction.
